Club Charter

AUSTIN WOMAN’S CLUB CHARTER

(Adopted October 11, 1929)

 KNOW ALL MEN BY THESE PRESENT: 


That we, Mrs. Sam J. Smith, Mrs. Lomis Slaughter, and Mrs. Thomas F. Taylor, and the other subscribers hereto, all being citizens of Travis County, Texas, members of the Austin Woman’s Club, a majority of the members of said association having voted in favor of incorporation, do hereby voluntarily associate ourselves together for the purpose for forming a private corporation under, by virtue of and according to the laws of the State of Texas, the terms and conditions thereof being as follows:


First


The name of the corporation is Austin Woman’s Club.


Second

The purpose for which the corporation is formed is the support of an Educational undertaking, to wit: The study of literary, civic, patriotic, artistic and other cultural subjects and the provisions for instruction therein with authority to establish and maintain club rooms for its members and for the conduct of its work and with power to provide suitable rules and regulations for the conduct of its affairs.


Third


The place where the business of the corporation is be transacted is at Austin, Travis County, Texas.


Fourth


The period of its duration shall be perpetual. (Amended, May 1978)


Fifth


The Austin Woman’s Club shall function through its Board of Directors which includes Officers and Chairmen of Standing Committees.  (Amended, May 1978)


Sixth


This corporation shall have power in furtherance of its corporate purposes:

 a. To acquire by gift, bequest, devise, purchase or exchange property of any kind or character.

 b. To hold, manage, conserve, lease, rent, sell, mortgage, encumber, expend, convey, exchange, invest or reinvest

 c. To employ and compensate all necessary agents, attorneys and employees and to delegate to them such duties, powers and responsibilities as may be deemed appropriate.

 d. To exercise each and every power which any private corporation chartered under the laws of Texas might exercise, and which is not inconsistent with provisions of this charter or the purpose for which corporation is formed.

 e. To adopt and amend, from time to time, by-laws (not inconsistent with this charter) to govern the management and conduct of this corporation and its affairs, the selection of its officers, their terms of office, and their duties and powers.

 f. To do and perform all other acts needful or appropriate in carrying out the purpose for which corporation was formed.

Seventh

(New paragraph to Articles, October 1955)


This corporation shall never have any capital stock. No part of its earnings shall ever inure to the benefit of any private individual. This corporation shall not carry on propaganda or otherwise attempt to influence legislation, and no part of its funds or property shall ever be used for any such purposes. This corporation shall not participate or intervene in any political or commercial activities (including the publishing or distributing of statements) on behalf of any candidate for public office. This corporation’s earnings shall be used exclusively for the purpose for which this corporation is created; but no one dealing with this corporation shall ever be under liability or shall ever be or become in anywise liable for this corporation’s failure to so use its funds or property.


Eighth

Whenever the entire membership of this corporation by a vote of not less than two-thirds of their number shall determine that is no longer feasible to accomplish or carry on the specific purpose for which this corporation is formed,                                                                                                                                                                                                                          Amended, May 1978
